Terms of Service

The simple rules for using SerpGem. Free to use, but please be a good citizen.

1. Acceptance of Terms

By accessing or using serpgem.com ("SerpGem," "the Service," "we," "us," or "our"), you agree to these Terms of Service. If you do not agree, do not use the Service.

SerpGem is operated by RAMSIO DIGITAL, a sole proprietorship registered in India (GSTIN: 29FFPPA9847J1ZL), with its registered office in Bengaluru, Karnataka.

2. What the Service Is

SerpGem provides a collection of free, browser-based tools for SEO and content analysis — including word counters, keyword density analyzers, SERP previewers, and meta tag auditors.

3. Use of the Service

You may use the tools for any lawful purpose, including personal and commercial work. You agree not to:

  • Send automated, scripted, or bulk requests (scraping, crawling, or flooding)
  • Circumvent rate limits, CAPTCHAs, or other abuse controls
  • Use the Service to process content that is illegal, infringing, defamatory, or that contains malware
  • Attempt to reverse engineer, decompile, or extract source code from the Service
  • Resell or relicense the Service as your own
  • Use the Service in any way that could disable, overburden, damage, or impair it or interfere with anyone else's use

4. Rate Limits

Tools that fetch content from external URLs (such as the Meta Tag Analyzer) are limited to 5 requests per minute per IP to prevent abuse. Client-side tools (word count, readability, etc.) have no request limit as they run entirely in your browser.

5. Ownership & License

The code, design, copy, and brand of SerpGem are owned by RAMSIO DIGITAL. All rights reserved. You are granted a non-exclusive, revocable, non-transferable license to use the Service as provided.

Content you enter into the tools remains yours. We do not claim any rights to your input. We also do not store it (see our Privacy Policy).

6. Third-Party Content & Links

The Service may contain links to, or display ads that link to, third-party websites. We are not responsible for the content, privacy practices, or availability of those sites. Access them at your own risk.

7. Advertising

SerpGem is free because it is supported by advertising (primarily Google AdSense). Advertisers do not influence the content or functionality of our tools. We do not endorse any product or service advertised on the Service.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind, express or implied. We make no warranty that the Service will be uninterrupted, error-free, or that any result derived from it is accurate, complete, or fit for a particular purpose.

SEO and readability scores produced by our tools are estimates based on publicly documented formulas and heuristics. They are for educational guidance only and are not a substitute for professional SEO consulting or a definitive signal of search-engine ranking behavior.

9. Limitation of Liability

To the maximum extent permitted by law, RAMSIO DIGITAL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunity, arising out of or related to your use of the Service.

Our total aggregate liability under these Terms shall not exceed ₹1,000 (one thousand Indian rupees) or the equivalent in your local currency.

10. Indemnification

You agree to indemnify and hold harmless RAMSIO DIGITAL, its proprietor, and affiliates from any claim, loss, or expense (including reasonable legal fees) arising out of your misuse of the Service or violation of these Terms.

11. Termination

We reserve the right to suspend or terminate access to the Service for any user, at any time, with or without notice, if we reasonably believe the user has violated these Terms.

12. Changes to the Service

We may add, modify, or remove tools and features without notice. Free tools may be retired or moved to a paid tier at our discretion. We'll try to give reasonable notice for material changes.

13. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the current version. Continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.

15. Dispute Resolution

Before filing any legal claim, you agree to first contact us at legal@serpgem.comand make a good-faith effort to resolve the dispute informally. We'll respond within 30 days.

16. Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable, preserving the original intent.

17. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and RAMSIO DIGITAL regarding the Service.
